Received a VDA Invitation Letter? Time to Step Up

If your company received a Delaware VDA invitation letter from the Secretary of State dated April 11, 2025, and you have not yet opted to enroll in the VDA program, it’s time to step up to bat!

On or about June 10, 2025, Delaware’s Department of Finance reached out to the companies that were sent April 11th letters but have not yet enrolled in the VDA program. These letters reminded companies that the 90-day deadline to opt into the program expires on July 10, 2025 — and as promised in the Secretary of State’s original letter, any company that fails to enroll will be referred for audit.

What the June 10 Follow-Up Means for Your Company

In Delaware, the Secretary of State administers the VDA program, but the Department of Finance is the enforcement arm responsible for unclaimed property audits. The June 10th letters from the Department of Finance clearly state that audit notices will be mailed shortly after the July 10th deadline to any company that has not enrolled.

If your company received a Delaware VDA invitation letter and hasn’t enrolled, the clock is ticking. Unless legal concerns would prevent resolution through a VDA, enrollment is typically a favorable option for companies aiming to comply with Delaware’s unclaimed property laws.   • The waiver of interest and penalties — versus the risk of penalties exceeding your liability
  • The exclusion of certain property types — including outstanding and voided checks and credit balances aged less than 90 days (versus only 30 days under audit)
